These Terms govern your use of brickandbrush.in and any services provided by Brick & Brush Studios ("we", "us"). By accessing this site, booking an audit, or engaging our services, you agree to these Terms.

1. Eligibility

You must be at least 18 and capable of entering binding contracts. By using this site, you confirm both.

2. What we do

We provide website design and build, conversion strategy, brand positioning, and ancillary services to B2B manufacturers, D2C brands, and service businesses. Specific deliverables for any engagement are defined in a Service Agreement signed before work begins.

3. Diagnostic audit calls

Diagnostic audit calls are free and held with no purchase obligation. We reserve the right to decline calls with applicants who don't meet fit criteria.

4. Fees, payments, scope

• All fees quoted and payable in INR unless stated otherwise.
• Buyer-first website builds start at ₹60,000 one-time. The buyer-first website with full catalogue is ₹1,00,000 one-time. Custom engagements are scoped per project and quoted on the audit call.
• Payments are typically structured as 50% on signing, 50% before launch, unless otherwise agreed in your Service Agreement.
• Late payments may attract a 2% per month late fee and result in pause on work until cleared.
• GST applies on top of stated prices.
• Scope is fixed at contract. Out-of-scope changes are billed separately or rescoped as a separate engagement.

5. Refund and cancellation

Given the nature of design and build work (strategy time, custom design, team allocation, software costs), paid fees are largely non-refundable once work has commenced. Specifically:

• Cooling-off: Full refund within 72 hours of payment, provided no strategy session has been held and no design work has begun.
• After kickoff: First tranche becomes non-refundable once strategy and design phases begin. The second tranche covers build and handover.
• Project cancellation by client mid-build: Paid amounts remain non-refundable. We hand over all completed work assets to date.
• 30-day post-launch fit guarantee: If after 30 days from launch we haven't surfaced at least one pre-qualified inquiry that wouldn't have come through your old site (and you've held up your side), we refund the second tranche. This is the sole monetary remedy.

6. The 4-Second Promise

On the launch call we run a live 4-second buyer-credibility test on your new site. You hold the veto. If the site doesn't pass it, we keep working at no further cost until it does. The 4-Second Promise is not a monetary refund; it is unlimited revisions until pass.

7. Client obligations

• Provide brand assets, content inputs, photography, and approvals within agreed timelines (typically 48 to 72 hours).
• Grant access to current website, hosting, domain, and any third-party tools needed for the build.
• Don't change scope, vertical positioning, or major content direction mid-engagement without prior written agreement.
• Comply with all applicable Indian laws (consumer regs, advertising, export documentation where relevant) for content you provide.

8. Intellectual property

• Website, designs, and copy we create for you become your property on full payment of all fees.
• Underlying frameworks, design systems, methodologies (including the Foundry Method), and proprietary tooling remain exclusive property of Brick & Brush Studios. You receive a non-exclusive, non-transferable licence to use them within your engagement only.
• You retain all rights to your brand, trademarks, product imagery, and pre-existing content.
• We retain the right to feature finished work in our portfolio and case studies, unless explicitly excluded in your Service Agreement.

9. Confidentiality

Both parties keep all non-public information learned during the engagement confidential, including revenue, customer lists, pricing structures, supplier relationships, and internal frameworks.

10. Results disclaimer

Outcomes referenced on our website and in conversations reflect actual past client results. These are not guarantees of future performance. Conversion rates, inquiry volume, and revenue impact vary by vertical, current state, lead source, sales process, and execution. The only contractually binding outcome commitments are the 4-Second Promise and the 30-day fit guarantee.

11. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or any service provided shall not exceed the total fees you paid for the engagement in question. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption.

12. Indemnification

You agree to indemnify and hold Brick & Brush Studios harmless from any claims, damages, or expenses arising from (a) your use of our services in violation of these Terms, (b) infringement of any third-party rights by content, imagery, or trademarks you provided, or (c) violation of any applicable law by your business or content.

13. Termination

Either party may terminate with 30 days' written notice if the engagement is on an ongoing retainer basis. For project-based engagements, both parties commit to completion as per the signed Service Agreement. We may terminate immediately if a client engages in unethical, illegal, or abusive conduct toward our team, in which case fees paid remain non-refundable.

14. Governing law and disputes

These Terms are governed by the laws of India. Disputes go to good-faith mediation first; failing which, binding arbitration under the Arbitration and Conciliation Act, 1996, seated in New Delhi. Courts in New Delhi have exclusive jurisdiction.

15. Changes

We may update these Terms. Material changes are emailed to active clients. Continued use after changes are posted constitutes acceptance.
